End User License Agreement (EULA)

PLEASE READ THIS END USER LICENSE AGREEMENT ("EULA") CAREFULLY BEFORE USING THE PUNDIT APPLICATION ("APP"). BY DOWNLOADING, INSTALLING, OR USING THE APP, YOU AGREE TO BE BOUND BY THIS EULA. IF YOU DO NOT AGREE TO THIS EULA, DO NOT USE THE APP.
This EULA is a legal agreement between you ("End User" or "you") and Pundit AS, a company incorporated in Norway with its principal office at Bjørklundsveien 21, 1396 Billingstad, Norway] ("Company," "we," "us," or "our"), governing your use of the Pundit App.
Pundit is licensed to you (End-User) by Pundit AS located and registered in Asker, Norway (Licensor), for use only under the terms of this License Agreement.
By downloading the licenses application from Apple’s Software distribution platform (“App Store”) and Google’s Software distribution platform (“Play Store”), and any update therefore (as permitted by this License Agreement), You indicate that You agree to be bound by all of the terms and conditions of this License Agreement and that you accept this License Agreement. App Store and Play Store are referred to this license agreement as “Services”.
The parties of this License Agreement acknowledge that the Services are not a Party to this License Agreement and are not bound by any provisions of obligations with regard to the Licensed Application, such as warranty, liability, maintenance and support thereof. Pundit AS, not the Services, is solely responsible for the Licensed Application and the content thereof.
The License Agreement may not provide for usage rules for the Licensed Application that are in conflict with the latest Apple Media Services Terms and Conditions and Google Play Terms of Service. Pundit AS acknowledges that it had the opportunity to review the Usage Rules and this License Agreement is not conflicting with them.
Pundit, when downloaded through Services, is licensed to You for use only under the terms of this License Agreement. The Licensor reserves all rights not expressly granted to You. Pundit is to be used on devices that operate with Apple’s operating systems or Google’s operating system.
1. License Grant
We grant you a non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes, subject to the terms and conditions of this EULA.
Pundit (Licensed Application) is a piece of software created to connect viewers of the same live broadcast and provide them with a meeting place to discuss and share observations on the ongoing event.
The Licensed Application is not tailored to comply with industry-specific regulations such as (HIPAA) (FISMA ec, so if your interactions are subjected to such laws, you may not use this Licensed Application. You may not use the Licensed Application in a way that would violate the GLBA.
Furthermore, You may not use the Licensed Application to spread misinformation, racial abuse or bullying. Should such instances occur you may be banned from ongoing events and risk having your License Agreement terminated, resulting in a permanent ban to our services and a termination of your account.
2. Scope of License
You are given a non-transferable, non-exclusive, non-sustainable license to install and use the Licensed Application on any Devices that You (End-User) own or control and as permitted by the Usage Rules.
The license will aso govern any updates to the licensed application provided by the licensor that replaces, repairs or supplement to the first Licensed Application, unless a separate license is provided for such update, in which case the terms of that new license will govern.
You may not share or make the Licensed Application available to third parties without Pundit AS’s prior written consent.
You not reverse engineer, translate, disassemble, integrate, decompile, remove, modify, combine, create derivative works or updates of, adapt or attempt to derive the source code of the Licensed application or any part of the technical system of Pundit AS.
Violation of the obligations mentioned above, as well as an attempt of such infringement, may be subject to prosecution and damages.
The Licensor reserves the right to modify the terms and conditions of Licensing.
User-Generated Contributions:
The Licensed Application may invite you to chat, contribute with comments and activity, like & dislike, submit text based comments in temporary events. Your contributions are non-confidential and non proprietary. When you create or make available any comments or contributions you warrant that:
The creation, distribution, transmission, public display, performance or copying of your contributions do not and will not infringe on the proprietary rights, including but not limited to copyright, patent, trademark, trade secret, or moral rights of any third party.
You are the creator and owner of or have the necessary licenses, rights, consents, releases and permissions to use and to authorize us, the Licensed Application, and the other users of the Licensed Application to use your contributions in any manner contemplated by the Licensed Application and this License Agreement.
Your contributions are not false, inaccurate or misleading
Your contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings or other forms of solicitation.
Your contributions are not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, discriminatory, racist or otherwise objectionable (as determined by us or the event moderator).
Your contributions do not ridicule, mock, disparage, intimidate or abuse anyone.
Your contributions are not used to harass or threaten any other person or promote violence against a specific person or class of people as well as not violate any applicable law, regulation or rule.
8) Your contribution do not violate the privacy or publicity rights of any third party.
Your contributions do not include offensive comments that are connected to race, national origin, gender, sexual preference or physical handicap.
3. Ownership
The App, including all intellectual property rights, is owned by the Company or its licensors. This EULA does not grant you any ownership rights.
4. Privacy
By using the App, you consent to the collection, use, and processing of your data as described in our [Privacy Policy](https://pundit.live/privacy).
5. Updates and Modifications
We may update the App and this EULA from time to time. Continued use of the App after an update constitutes your acceptance of the revised EULA.
6. Termination
This license is effective until terminated. We may terminate your access to the App at any time if you breach this EULA. Upon termination, you must delete all copies of the App.
7. Disclaimers
The App is provided "as is" without warranties of any kind, express or implied.
We do not guarantee the App will be error-free, uninterrupted, or meet your requirements.
8. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use or inability to use the App.
9. Indemnification
You agree to indemnify and hold the Company harmless from any claims, damages, or expenses arising from your use of the App or violation of this EULA.
10. Governing Law and Dispute Resolution
This EULA is governed by the laws of Norway. Any disputes arising under this EULA shall be resolved exclusively in the courts of Oslo, Norway.
11. Entire Agreement
This EULA constitutes the entire agreement between you and the Company concerning the App and supersedes all prior agreements and takes effect upon accepting these terms and using the App.
